TERMS AND CONDITIONS OF SALE
Terms
of Payment
All
goods are payable COD immediately upon receipt,
unless otherwise arranged. A finance charge of
1.5% per month, not to exceed the maximum allowable
by law, shall be applied each month to past due
accounts. Handling charges will be assessed to
returned checks. In the event of Purchaser's default
on payment for products purchased hereunder. Purchaser
shall be responsible for all reasonable attorney's
fee, plus any other costs of such action. Digiconcepts
shall not be obligated to make any further deliveries
to Purchaser.
Delivery
Shipment
of all products shall be FOB Digiconcepts. In
the event of carrier's damage, loss, or misdelivery
of product, it shall be the responsibility of
the purchaser to deal with the carrier. In the
absence of specific shipping instructions, Digiconcepts
will select the method and carrier it deems best.
Delivery schedules are approximate only. Digiconcepts
will make every reasonable effort to deliver on
time, however, Digiconcepts shall not be liable
for late or lost shipments.
Title
Title
and risk of loss or damage to product shall pass
to Purchaser upon delivery to carrier or Purchaser
or Purchaser's Agent at FOB point. The above notwithstanding.
Purchaser agrees that Digiconcepts shall retain
a purchase money security interest in all products
sold to Purchaser, and to all products now or
hereafter acquired by Purchaser, the collateral,
and to any proceeds from the disposition of said
products until the Purchaser price and other charges
due to Digiconcepts has been paid in full. Upon
any default by Purchaser hereunder, Digiconcepts
shall have all rights and remedies of secured
party under the Uniform Commercial Code, which
rights shall be commutative.
Limitation
of Liability
In
no event shall Digiconcepts be liable for any
loss of use, revenue, or anticipatory profit,
or for any direct, indirect or consequential damages
arising out of or connected with sale, use or
operation of goods sold. Any designs, schematics,
data or other technical information supplied by
Digiconcepts to Purchaser in connection with the
sale of goods shall remain property of Digiconcepts,
and be held in confidence by Purchaser. Such information
shall not be reproduced or disclosed to others
without Digiconcepts prior written consent.
Applicable Law
The
rights and obligation of the parties under this
agreement shall be governed by the laws of the
State where the Digiconcepts office responsible
for the sale is located.
Limited
Warranty
This
limited warranty is extended only to customers,
hereinafter called Purchasers, who purchase products
from Digiconcepts and is valid only with respect
to those purchasers in the Continent of America
Subject to the following conditions should this
product prove defective by reason of improper
workmanship or material under normal use and service
conditions within (12) months from the date of
origin purchase by Purchaser. Digiconcepts will
replace the product without charge for parts and
labor. The limited warranty does NOT apply if
(1) the product is damaged by accident, improper
installation, misuse, lightning, fire, water,
or other acts of nature, (2) the product is altered
or repaired by anyone other than Digiconcepts,
(3) the manufacture serial label is removed or
tampered with. This warranty does not cover broken
or marred cabinets, cases or covers. Should this
product prove defective in workmanship or material,
the Purchasers sole remedy shall be such repair
or replacement as is provided above. Under no
circumstances shall Digiconcepts be liable for
any loss or damage, direct, consequential, or
incidental arising out of the inability to use
this product. In order to obtain warranty service,
evidence of purchase date must be provided. It
is strongly recommended Digiconcepts invoice be
retained as evidence of the purchase date. Digiconcepts
makes no warranty other than the one set forth
herein. Such warranty is in lien of all other
warranties, expressed or implied, including but
not limited to any expressed or implied warranty
of merchant ability or fitness for a particular
purpose, and such constitutes the only warranty
made with respect to the goods. All OEM CPUs purchased
from Digiconcepts carry a 21-day warranty from
the invoice date. CPUs, Cisco products, memory,
LCD monitors, software and special order products
qualify for replacement only.
RMA
Policy
This
RMA Policy is intended solely for products sold
by Digiconcepts. Issued RMA Numbers are valid
for 10 days only! RMA Process Requirements:

Email or fax a completed RMA Form.
- Ship
products to Digiconcepts freight prepaid by
purchaser.
- Send
copies of the original invoice and RMA Form
issued by Digiconcepts.
- For
replacements, do not include product accessories
such as manuals, disks, and cables.
- For
refunds or credits, include all product accessories
such as manuals, disks, cables, and retail box.
- Print/write
RMA Number clearly on all packages.
Exchanges/Credits/Refunds
Returns
are for replacement only. Except as outlined below,
credits, exchanges and refunds are not allowed.
If requested within thirty (30) days of the Digiconcepts
Invoice date, a credit, exchange, or refund may
be issued for purchases of a given product. CPUs,
memory, software, special order products and opened/used
products qualify for replacement only.
Shipping
End
users must send RMA merchandise directly to Digiconcepts
unless otherwise directed. Dealers and distributors
must ship RMA items to Digiconcepts at least once
a week. All RMA items must be shipped FREIGHT
PREPAID to Digiconcepts with the RMA number prominently
displayed on the shipping label, and have a completed
RMA Form attached. Shipment's not meeting ALL
the above conditions are subject to the imposition
of handling charges by Digiconcepts. To receive
a RMA Request Form, contact Digiconcepts Sales
Department. Digiconcepts SHALL PAY GROUND SHIPPING
COSTS TO RETURN REPLACEMENT ITEMS TO THE PURCHASER,
providing the RMA Process Requirements and following
conditions are met: (1) items were originally
purchased from Digiconcepts, (2) items are still
under warranty, and (3) items are confirmed to
be defective. Shipping and handling charges shall
be assessed for products received which are: (1)
not defective, (2) counterfeit items, or (3) another
company's brand. Such products shall be refused
or shipped back to Purchaser COD. If help is needed
in distinguishing genuine Digiconcepts products
from fake ones, please contact Digiconcepts Technical
Support Department.
Replacement
Schedule
Replacement
of products shall be made within (12) business
days from date of receipt, (20) business days
for shipments exceeding fifty (50) pieces.
Warranty
Period
When
purchased from Digiconcepts, products are warranted
free from defect in material and workmanship for
twelve months from the Digiconcepts invoice date.
This covers parts and labor performed by Digiconcepts
to replace such product. For more information,
see Digiconcepts Limited Warranty. Replaced items,
whether customers original or Digiconcepts replacement
for same, are warranted for the remainder of the
original warranty period.
